I have looked at it, bout could not figure out how to get it to work. When trying to insmod it, I get a couble of screens full of missing dependencies. (kernel 2.4.21rc1)

Have you seen the the MPC8260 ATM driver on source forge (http://sourceforge.net/projects/atm8260)? This one "should" work (we use an older version with linux 2.4.4).
